Terms of Service

Please read these Terms carefully. They govern your access to and use of Lexax — including its AI agent, integrations, code execution, messaging, and deployment features — and form a binding agreement between you and the Company.

1. Acceptance of Terms

By accessing or using Lexax (the "Service"), operated by Lexax Inc. ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service (the "Terms") and by our Privacy Policy, which is incorporated by reference. If you do not agree, you may not access or use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

2. Eligibility

You must be at least 18 years old to access or use the Service. By using the Service you represent and warrant that you are at least 18, that the information you provide is accurate, and that you are not barred from using the Service under any applicable law, sanctions, or export-control regime.

3. Description of Service

Lexax is an AI-powered software platform that lets users design, build, run, deploy, and manage web and mobile applications, content, and automations through natural-language interactions. The Service may include AI code and content generation; an AI agent that performs multi-step tasks using tools; isolated execution environments that run code; web search and content retrieval; browser automation; media generation; document generation; connections to third-party accounts; scheduled and event-triggered automations; messaging channels; collaboration; and deployment to public URLs. We may add, change, suspend, or remove features at any time.

4. Account Registration and Security

To use the Service you must create an account through a supported authentication method. You agree to provide accurate information, keep your credentials confidential, and be responsible for all activity under your account. You must notify us promptly of any unauthorized access or suspected breach. We may suspend or terminate accounts that violate these Terms or that create risk to the Service or others.

5. Workspaces and Collaboration

The Service lets you create and join workspaces for collaborative development. Workspace owners and administrators control access, roles, permissions, connected accounts, and automations, and are responsible for managing their members. Content and connections within a workspace may be accessible to its members according to their roles, and actions taken by one member (including the agent acting on their behalf) may affect shared workspace resources. If you leave or are removed from a workspace, you may lose access to its projects and data. You are responsible for the users you invite.

6. User Content and Ownership

As between you and the Company, you retain all rights you hold in the prompts, code, files, and other materials you provide or create using the Service, together with the output generated for you (collectively, "User Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, transmit, display, and process your User Content solely to operate, secure, provide, and improve the Service, including transmitting it to the sub-processors and destinations necessary to deliver the functionality you request. You represent that you have the rights necessary to submit your User Content and that it does not violate any law or third-party right.

7. License to Use the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal purposes. The Service, including its software, design, models, and underlying technology, is and remains the exclusive property of the Company and its licensors. Except as expressly permitted, you may not copy, modify, reverse engineer, resell, or create derivative works of the Service.

8. Acceptable Use

You agree not to, and not to permit others or the agent acting on your instructions to, use the Service to:

  • Violate any applicable law, regulation, or third-party right.
  • Generate, store, deploy, or distribute malware, exploits, spam, or content or code designed to harm, attack, surveil, or gain unauthorized access to systems, networks, or individuals.
  • Use the execution environment to conduct attacks, scanning, brute-forcing, denial-of-service, cryptocurrency mining, unauthorized data scraping, or exfiltration.
  • Infringe intellectual property, privacy, publicity, or other rights, or misappropriate confidential information or another person's likeness.
  • Create or distribute content that is unlawful, harassing, defamatory, abusive, hateful, deceptive, sexually exploitative, or that endangers minors.
  • Send messages, emails, or other communications to recipients who have not consented, or in violation of anti-spam, marketing, or telecommunications laws.
  • Probe, circumvent, or disrupt the Service, its security, rate limits, usage metering, or infrastructure, or access it by unauthorized means.
  • Use the Service to build a competing product, train a competing model, or benchmark it for those purposes.
  • Resell, sublicense, or provide the Service to third parties except as expressly permitted.

We may investigate suspected violations and take appropriate action, including removing content, disabling automations, and suspending or terminating access.

9. AI-Generated Content

The Service uses artificial intelligence to generate code, content, and components. AI output is probabilistic and may be inaccurate, incomplete, insecure, biased, or otherwise unsuitable, and similar output may be generated for other users. You are solely responsible for reviewing, testing, securing, and validating all AI output before relying on it or deploying it to any environment. We make no warranty regarding the accuracy, security, fitness, originality, or non-infringement of AI output, and you use it at your own risk.

10. Autonomous Agent Actions and Your Responsibility

When you instruct the agent, it may autonomously perform multi-step actions on your behalf, including running code and shell commands in an execution environment, reading and modifying project files, searching and retrieving web content, operating a browser (including signing in to and interacting with websites you direct it to), generating media and documents, deploying applications, pushing code to repositories you connect, and performing actions in third-party accounts you connect. You authorize these actions, and you acknowledge that they may have real-world effects, may be irreversible, may incur costs, and may send communications or change data in connected systems. You are solely responsible for the instructions you give, for supervising and validating the agent's actions and outputs, and for the consequences. We are not liable for actions the agent takes at your direction.

11. Code Execution and Sandbox Environments

The Service executes code — including code generated by AI and code you provide — in isolated, sandboxed environments operated by a third-party provider. These environments may have outbound internet access and can serve live previews at temporary URLs that may be reachable by anyone with the link. You are responsible for the code that runs in your environment, for what it does (including any outbound requests, data handling, and use of credentials), and for not using it for any prohibited purpose. Do not place sensitive values directly in code or prompts; use the dedicated secret feature.

12. Connected Accounts and Integrations

When you connect a third-party account, you authorize the Service and the agent to access that account and perform actions within it on your behalf, within the scope you grant. Depending on your workspace settings, a connection made by an administrator may be usable by other members of the workspace. Actions performed in connected accounts may be irreversible and are your responsibility. Your use of third-party services is governed by their own terms, and we are not responsible for their availability, security, changes, or practices. You must maintain your rights to use those services and are responsible for any data you transmit to or through them.

13. Automated and Scheduled Tasks

The Service can run automations on a schedule or in response to external events, including when you are not present. By configuring an automation, you consent to its unattended execution and acknowledge that it will consume usage credits and may generate content and perform actions in connected accounts and messaging channels you have authorized. You are responsible for the instructions and triggers you configure and for monitoring the results, and you can disable, edit, or expire automations at any time. We are not liable for outcomes of automations you create.

14. Messaging

Where enabled, you can interact with the Service over supported messaging channels via a third-party messaging provider. You are responsible for ensuring that every recipient has consented to receive messages and for compliance with applicable telecommunications, anti-spam, and marketing laws. Standard opt-out keywords (such as STOP) will stop further messages. Message-and-data rates may apply through the recipient's carrier. We may suspend messaging features for suspected misuse.

15. Deployment and Publishing

The Service lets you deploy applications to publicly accessible URLs hosted through our deployment provider. You are solely responsible for the applications you build, deploy, and operate — including their content, functionality, security, legal compliance, and the experience and data of their end users — and for providing your own terms and privacy notices and obtaining any required consents. You must not publish content that violates these Terms. We may remove, disable, or take down deployments that violate these Terms or applicable law, or in response to valid legal requests.

16. Generated Media and Third-Party Content

The Service can generate images, video, audio, and documents, and can retrieve third-party media from the web at your direction. Generated media is not necessarily watermarked or labeled as AI-generated and may resemble real persons, brands, or copyrighted works. You are solely responsible for ensuring that your use of generated and retrieved media complies with applicable intellectual property, publicity, likeness, trademark, and other laws, and for obtaining any necessary rights, licenses, or permissions. We make no warranty that generated or retrieved content is original or free of third-party rights.

17. Usage Credits, Plans, and Billing

Certain features are metered and consume usage credits or require a paid plan. Credits and allowances are tracked per user and workspace and, unless otherwise stated, reset each billing period and do not roll over. Paid plans renew automatically until cancelled. Fees are processed by a third-party payment processor acting as merchant of record; we do not store full card details. Except where required by law or expressly stated, payments are non-refundable. We may change pricing, plans, credit allocations, and billing terms with reasonable notice. You are responsible for applicable taxes and for all charges incurred under your account. We may suspend metered features for non-payment or insufficient credits.

18. Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use it without restriction or obligation to you.

19. Third-Party Services

The Service relies on, and lets you connect to, third-party services and infrastructure. We are not responsible for the acts, omissions, availability, security, or content of third-party services, and their terms apply to your use of them. Interruptions, changes, or discontinuation of a third-party service may affect the Service, and we are not liable for resulting impacts.

20. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage. We do not warrant that the Service will be uninterrupted, error-free, or secure, that output or agent actions will be accurate or suitable, or that the Service will meet your requirements. Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

21. Limitation of Liability

To the maximum extent permitted by law, the Company and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or relating to the Service, agent actions, generated content, deployed applications, or third-party services, even if advised of the possibility of such damages. Our total aggregate liability for any claim relating to the Service will not exceed the greater of the amount you paid to us in the twelve (12) months before the event giving rise to the claim, or one hundred U.S. dollars (USD 100).

22. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your User Content, your applications and automations, your use of the Service and the agent, your connected accounts, your messaging, your generated or retrieved content, or your violation of these Terms or any law or third-party right.

23. Suspension and Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and where practicable with reasonable notice — including immediately for violations of these Terms, non-payment, or risks to the Service or others. You may terminate your account at any time by contacting support or using available account controls. Upon termination, your right to use the Service ends, and we may delete your User Content in accordance with our Privacy Policy. You are responsible for exporting any data you wish to keep before termination. Provisions that by their nature should survive — including ownership, feedback, disclaimers, limitation of liability, indemnification, and governing law — will survive.

24. Modifications to the Service and Terms

We may modify the Service or these Terms at any time. For material changes to the Terms, we will provide notice through the Service or by email at least thirty (30) days before they take effect, unless a change must take effect sooner for legal or security reasons. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.

25. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which the Company is incorporated, without regard to its conflict-of-laws rules. Except where prohibited by law, any dispute arising out of or relating to these Terms or the Service will be resolved through final and binding arbitration on an individual basis, and you and the Company waive any right to participate in a class or representative action. Nothing in this section prevents either party from seeking injunctive relief for intellectual-property or unauthorized-use claims in a court of competent jurisdiction.

26. General

These Terms, together with the Privacy Policy and any plan-specific terms, are the entire agreement between you and the Company regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control.
