1. Acceptance of Terms

By accessing or using Lexax ("Service"), operated by Lexax Inc. ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and the Company.

2. Description of Service

Lexax is an AI-powered application builder that enables users to create, deploy, and manage web and mobile applications through natural language interactions. The Service includes, but is not limited to, AI code generation, project management, collaboration tools, and deployment infrastructure.

3. Account Registration

To use the Service, you must create an account using a supported authentication provider. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Workspaces and Collaboration

The Service allows you to create and participate in workspaces for collaborative development. Workspace owners are responsible for managing access, roles, and permissions within their workspace. You acknowledge that content shared within a workspace is accessible to all workspace members. When you leave or are removed from a workspace, you will lose access to all projects and data within that workspace.

5. Intellectual Property

You retain ownership of all content, code, and materials you create using the Service ("User Content"). By using the Service, you grant us a limited, non-exclusive license to process your User Content solely for the purpose of providing and improving the Service. The Service itself, including its design, features, and underlying technology, remains the exclusive property of Lexax Inc.

6. Usage Credits and Billing

Certain features of the Service are metered and consume usage credits. Credits are tracked per user per workspace on a monthly basis. Unused credits do not roll over between billing periods. We reserve the right to modify pricing, credit allocations, and billing terms with reasonable notice to affected users.

7. Acceptable Use

You agree not to use the Service to: (a) violate any applicable law or regulation; (b) generate, store, or distribute malicious code, malware, or any content intended to harm systems or individuals; (c) infringe upon the intellectual property rights of others; (d) attempt to gain unauthorized access to any part of the Service or its infrastructure; (e) use the Service to build competing products or services; or (f) engage in any activity that disrupts or interferes with the Service.

8. AI-Generated Content

The Service uses artificial intelligence to generate code and application components. While we strive for accuracy and quality, AI-generated output may contain errors, security vulnerabilities, or unintended behavior. You are solely responsible for reviewing, testing, and validating all AI-generated content before deploying it to production environments. We make no warranties regarding the fitness, security, or correctness of AI-generated output.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Lexax Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or relating to your use of the Service. Our total aggregate liability shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, upon reasonable notice. You may terminate your account at any time by contacting support. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, and limitations of liability.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via the Service or email at least thirty (30) days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Lexax Inc. is incorporated, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with applicable arbitration rules.
